Sparta Capital is a publicly traded investment and distribution company that invests in and distributes a range of technologies, in particular those that contribute to green energy solutions within the global logistics industry.

Directors and Officers


Carmine Falcone, Chairman

Mr. Falcone brings a wealth of direct experience in the fuel and chemical products industry, including refining, marketing and distribution having worked within the Shell Group for 36 years in executive leadership positions around the world.

Starting his career in Shell's Montreal Refinery in 1968, he progressed through senior executive positions with Shell internationally including:

- Vice President - Corporate Planning, Calgary, Canada
- Executive Vice President - Oil Products, Calgary, Canada
- Head of Strategic Division - Global Manufacturing, The Hague, Holland
- Director - Strategic Planning Global Products, London, England
- Vice President - Manufacturing, Supply Distribution Europe Oil Products, London, England
- Vice President - Refining, Equilon Enterprises LLC, (Shell Affiliate) Houston, USA
- Vice President - Refining, Equiva Services LLC, (Shell Affiliate) Houston, USA
- Vice President - Manufacturing Supply, Shell Oil Products USA, Houston, USA

After retirement from Shell in 2004, Mr. Falcone remains active in business leadership including;

- Chairman of the Board of Hightowers Petroleum Co., a fuel transport logistics business delivering diesel fuel, gasoline, biodiesel and ethanol to major customers across USA, Mexico and Canada;
- Chairman of the Board of The Plaza Group, a bulk chemicals marketing group out of Houston;
- Board Director for Heritage-Crystal Clean, a parts-cleaning service and environmental services provider and used oil re-refiner, Chicago;
- Director, Northwest Upgrading, a $6 Billion bitumen upgrading refinery nearing final construction approval, Calgary; - Consultant, The Easton Group, primarily advising on merger and acquisition activities;
- Formerly, Board Director with several Shell subsidiaries, including Shell Canada and Shell Saudi Arabia JV. Former Director of Centurion Energy International Inc. an oil gas exploration and development company, with operations in Tunisia and Egypt.

Ray G. Harris, FCA, Director

Ray Harris has a record of achievement and excellence in public practice with Deloitte, a major international public accounting firm. He has been Managing Partner, National Office (1980-1982), Executive Director (1982-1990), and, most recently, Chairman of the Canadian Practice (1991-1992).

Since his retirement from Deloitte in 1993, Mr. Harris has continued guiding public companies both as a consultant and in governance roles. Particularly relevant to Sparta's Asian market development, Mr. Harris resided for three years in Beijing, working with the Ministry of Finance of the People's Republic of China.

Mr. Harris currently holds the following corporate governance positions:

- Bank of China - Canada, Director and Chairman of Audit Committee and Member of the Conduct Review Committee (1996 to present)
- Firan Technology Group Corporation (TSX Listed), Chairman of Board, Director and Chairman of the Audit Committee (1997 to present)
- International Road Dynamics, Inc. (TSX Listed), Director and Chairman of the Audit and Corporate Governance Committees (1999 to present).


Theodore Rousseau, Director

Ted Rousseau has made a career of building companies from startup to successful publicly traded enterprises. This has been achieved through the investment of personal seed capital combined with funds raised on the public equity markets. The successful formula has been to launch the new public company, seek out and acquire innovative new technologies, and through the public equity markets, finance and grow business operations beyond the limitations of the private technology enterprise.

Now, through the acquisition of the rights under the Hy-Drive Master Sales Agency agreement, Mr. Rousseau and the management team at Sparta will apply that same formula of success, rapidly growing the business operations of Sparta with the means to finance growth opportunities as they arise.


Bruce Clark, HBA, CA, Director

Bruce Clark is a graduate of the University of Western Ontario School of Business Administration and a Chartered Accountant. Mr. Clark is President of Clark Research Limited, a private company formed in 1978 that provides financial consulting services to emerging businesses both private and public. From 1998 to September 2009, Mr. Clark was a director and senior officer of Learnco International Inc., a public company that provided supplementary education to students across Canada. From September 2003 to January 2007, he was Chief Financial Officer of HydraLogic Systems Inc., a public company engaged in environmental product development.


Duane Wood, President, Chief Executive Officer and Chief Technical Officer

Mr. Wood brings a wealth of experience to his position. Following a decade in diverse roles of increasing executive management responsibility within the top-tier of the Canadian brokerage industry, Mr. Wood founded and directed the rapid growth of a web development firm, taking it from inception to multi-million dollars in annual sales within 5 years. The web development firm was primarily focused on complex, high security systems integrations for the financial services industry. Mr. Wood directed the growth of this innovative company from a single staff member to 140 full time employees and through to its successful sale to a Fortune 500 company.


Ray Ludwig, CMA, Vice President and CFO

Mr. Ludwig joined Sparta after eight years as Senior Manager in the Financial Advisory Services section of Deloitte, a major international accounting firm. In that position, his prime areas of concentration were business modeling, financial analysis, financial damage quantification, business valuation and cash flow forecasting for companies operating primarily in the energy industry. Prior to that time he operated a private financial consulting practice, MVP Financial Consultants Inc., in which he assisted companies through periods of rapid growth and change, including corporate restructuring.

Mr. Ludwig has traveled extensively through Sparta's core target markets of Australia, New Zealand and South East Asia.
